In order to successfully pursue our business objectives, we need experienced and confident management of the company. The Management Board of VENTIS Holding AG is therefore made up of the long-standing team of Klaus Prokop, Franz-Josef Marxen and Kerstin Kage. In total, the VENTIS management team has more than 100 years of experience in real estate development and investment management.

Klaus Prokop
Klaus Prokop, a graduate in business administration and member of the Management Board of VENTIS Holding AG, has renovated and constructed more than 500 real estate projects throughout Germany during his career - always with a pronounced attention to detail and a focus on the highest construction quality. In 2008, he brought today's VENTIS Construction into the company, setting new standards for innovation and perfection in the construction industry. With his in-depth expertise and passion for excellence in execution, he has turned VENTIS into a major real estate company in Germany.

Kerstin Kage
Kerstin Kage has been with the company since 2011 and has been a member of the Management Board of VENTIS Holding AG since 2021. She began her professional career in a Berlin law firm specializing in construction and real estate law, where she gained valuable notarial knowledge. She later expanded her knowledge by studying business law (LL.B). At VENTIS , she started in project management and used her strategic skills to optimize internal processes.
As HR Manager, she is responsible for personnel development and employee well-being. She promotes an open corporate culture and ensures a productive working environment. Since her appointment to the Management Board, she has set new priorities in strategic planning and project implementation. Her in-depth knowledge and commitment make her an indispensable manager at VENTIS Holding AG.

Franz-Josef Marxen
Franz-Josef Marxen has been a member of the Management Board and Chief Financial Officer of VENTIS Holding AG since the company was founded in 1993. His career is characterized by a wealth of experience in the development of residential and commercial real estate. Prior to joining VENTIS , Marxen worked at Commerzbank AG as an authorized signatory and subsequently served as managing director at ALTERUM Immobilienentwicklungs GmbH, where he further deepened his expertise in project development. Marxen's academic background in business administration forms the basis for his expertise in finance and strategic corporate management. In his role as Chief Financial Officer, he is responsible for financial management and makes a significant contribution to the solid financial positioning of VENTIS AG. His expertise and commitment are key factors in the successful realization of real estate projects and the sustainable development of the company.

Count Konstantin Lambsdorff
Konstantin Graf Lambsdorff is a renowned specialist lawyer for tax law and founding partner of the law firm LAMBSDORFF in Berlin. He advises companies and investors on M&A and venture capital transactions. His clients particularly appreciate his constructive and pragmatic negotiating style, which aims to close deals quickly. His professional career includes stints at the Treuhandanstalt and the international law firm Taylor Wessing before founding LAMBSDORFF, where he has worked since 2013. He also holds several supervisory board positions, including Chairman of the Supervisory Board of VENTIS Holding AG (formerly PRIMUS Immobilien AG).

Karl-Heinz Zehentner
As an experienced managing director of Zehentner & Seidel Immobiliengesellschaft in Weimar, Karl-Heinz Zehentner brings extensive expertise in real estate development and project management to the Supervisory Board of VENTIS AG. His current flagship project, the Roter Berg shopping center, demonstrates his commitment to careful planning and execution even in challenging times. His strategic decision to use individual tenders to overcome construction delays demonstrates his flexibility and ability to innovate. His dedication to the project, in which several million have already been invested, underlines his commitment to sustainable development and his goal of bringing all projects to a successful conclusion. Karl-Heinz Zehentner's leadership experience and his pragmatic approach to solving complex challenges enrich the Supervisory Board of VENTIS AG by offering perspectives for efficient and feasible project implementations.

Peter Münn
As co-founder and driving force behind Haustechnik aus Weißensee (HTW), a company that has made a name for itself by implementing sophisticated modernization projects in heating, ventilation and sanitary technology, Peter Münn brings exceptional expertise and innovative spirit to the Supervisory Board of VENTIS AG. His early career in the GDR, where he worked in the planning and modernization of heating systems, combined with his later experience in setting up and managing his own company in reunified Germany, distinguish him as an expert in technical solutions and corporate management. Proven by leading his team at HTW to become an unbeatable player in the industry, particularly through the successful modernization of an eleven-story building with 33 tenants, Münn brings a visionary perspective and deep technical understanding to the Supervisory Board. His commitment to excellence and his pragmatic approach to overcoming technical and commercial challenges enrich the strategic direction of VENTIS AG.
